01

Acceptance of Terms

By signing a Statement of Work (SOW), accessing systems we provide, or otherwise using ScripGrid's consulting services (together, the “Services”), you agree to these Terms. If you accept them on behalf of a company or other legal entity, you confirm that you have authority to bind that entity.

If you do not agree with these Terms, do not use the Services. We may update these Terms from time to time and will tell active clients about material changes through their project contact.

02

Service Scope & Delivery

ScripGrid provides software architecture consulting, infrastructure design and custom software engineering. The scope, deliverables, timelines and requirements of each engagement are set out in a mutually agreed SOW or service level agreement (SLA).

  • Changes: changes to an agreed SOW need a written change order, which may affect timelines and cost.
  • Client dependencies: on-time delivery depends on you giving us timely access to codebases, infrastructure, credentials and subject-matter experts, as agreed during onboarding.
  • Support and maintenance: post-launch support is not included unless a separate SLA covers it.
03

Intellectual Property

Intellectual property (IP) rights are allocated as follows:

3.1 Custom deliverables

Once all fees under an SOW are paid in full, ScripGrid assigns to you all rights, title and interest in the custom software, source code and designs created specifically for you under that SOW.

3.2 Pre-existing and background IP

ScripGrid keeps all rights in frameworks, libraries, patterns, methods and tools that existed before the engagement or were developed independently of it (“Background IP”). You receive a perpetual, non-exclusive, non-transferable licence to use Background IP as incorporated in the deliverables.
04

Confidentiality & Security

During an engagement each party may receive the other's non-public information, such as business plans, source code, data and infrastructure details (“Confidential Information”).

Each party will keep the other's Confidential Information confidential and use it only to perform or receive the Services. We follow industry-standard security practices to protect client data. Unless the SOW says otherwise, you remain responsible for removing or anonymising personal data before giving us access to your systems.

05

Limitation of Liability

To the extent the law allows, neither party is liable to the other for indirect, incidental, special or consequential losses, or for lost profits, revenue or data, arising from the Services.

To the extent the law allows, each party's total liability arising from an SOW is limited to the fees paid or payable under that SOW in the twelve months before the claim. Nothing in these Terms limits liability that cannot be limited by law.

06

Termination

Either party may end an SOW by written notice if the other party materially breaches these Terms or the SOW and does not fix the breach within thirty days of being told about it. An SOW may also set out other termination rights, such as ending for convenience with notice.

On termination you pay for Services performed up to the termination date, and each party returns or deletes the other's Confidential Information. Sections on intellectual property, confidentiality and liability continue to apply after termination.
